initial consultation

evaluation & candidate sourcing
We meet with your executive team to discuss various scenarios and potential outcomes, and to gather the information we’ll need to take the next steps. On the sell side, we’ll help you create the confidential information memorandum, a company teaser and pitch deck. We offer coaching on how to effectively sell your value proposition in meetings. On the buy side, we create pro forma financial statements for targets and discuss valuation.
due diligence
On the sell-side, we create a virtual data room, proactively structured and populated with data in order to accelerate the process. On the buy side, we drive the data request to the seller and guide the review process so that the client has clear insight into to the target’s operational and strategic strengths and weaknesses.

As the negotiation matures, we support your attorneys in helping you interpret purchase agreements in easy-to-understand terms, create the disclosure schedules and consult on operational ramifications of the transaction
